1. Acceptance of Terms

By accessing biocc.us or engaging our services, you agree to these legally binding Terms.

2. Services Scope

  • Biotechnology research design & protocol development

  • Regulatory strategy (FDA/EMA/PMDA submissions)

  • Market analysis & commercialization support

  • Excluded: Clinical patient care or diagnostic services

3. Client Obligations

You warrant that:

  • All provided research data is legally obtained

  • Disclosed intellectual property doesn't infringe third-party rights

  • Maintain adequate cybersecurity for shared systems

4. Fees & Payment

  • Structure: Fixed-fee projects or hourly ($225-$450/hr based on expertise)

  • Invoicing: 50% deposit to commence work, balance upon deliverable acceptance

  • Late Payments: 1.5% monthly interest + collections costs for >30-day delays

5. Intellectual Property

6. Confidentiality

  • Mutual NDA required before project initiation

  • 5-year confidentiality period post-project

  • Exclusions: Publicly available information, independently developed knowledge

7. Limitations of Liability

  • Cap: Liability limited to fees paid for relevant project

  • Exclusions: No liability for:

    • Regulatory approval decisions

    • Third-party IP infringement claims

    • Consequential/punitive damages

    • Force majeure events (e.g., pandemics, natural disasters)

8. Termination

  • By Client: 30-day written notice with payment for work completed

  • By Bio CC: Immediate termination for:

    • Payment default >60 days

    • Material breach of confidentiality

    • Unethical research practices

9. Dispute Resolution

  1. Mediation: 60-day mandatory mediation (Florida)

  2. Arbitration: Binding AAA arbitration if mediation fails

  3. Governing Law: Florida UCC and federal biotech regulations

10. Regulatory Compliance

  • HIPAA adherence for human subject data

  • 21 CFR Part 11 compliance for electronic records

  • Florida Bioethics Laws (Ch. 381, F.S.)

11. Amendments

Changes effective 30 days after posting at biocc.us/terms-of-service. Continued use constitutes acceptance.
